  1. Basic Information and Definitions
    Custom Space AI will be referred to as “Custom Space AI” in this document.
    Clients refer to the companies purchasing the services. Users refer to anyone granted access to a
    Custom Space for the company.
    For personal use, the client is also the user.
  2. Description of Services
    Custom Space AI provides a customizable AI platform for businesses utilizing OpenAI’s technology.
    It serves as a search tool for internal processes and relevant company information, accessible by
    company staff and customers.
    There is a learning curve involved for initial use of the AI.
  3. Subscription and Payment Terms
    Pricing is based on a tiered structure, with an option for a 10% discount for annual memberships.
    Clients can cancel anytime before the next billing cycle. Refunds may be granted upon request, but
    specific criteria apply.
    Payment issues will result in restricted access to the Custom Space.
  4. User Obligations and Responsibilities
    The main user (owner/manager) or other specified individuals are responsible for providing accurate
    company information.
    They have the authority to fill out necessary forms for creating and updating the Custom Space.
    Harmful language or misuse will result in termination.
  5. Data Privacy and Security
    Custom Space AI is committed to safeguarding your data. Here’s how we handle and protect your information:
    • Data Collection: we collect user names, email addresses, and additional company details for the main user.
    • Data Storage: documents uploaded to our website are securely stored on our servers for a maximum of 10 days. After this period, they are automatically deleted. These documents are uploaded to OpenAI’s platform for processing and customization of your Custom Space AI.
    • User Authentication: two-step authentication is required for accessing your Custom Space AI, ensuring secure and authorized access.
    • Employee Access Changes: if an employee leaves your company or should no longer have access, the main user is responsible for notifying Custom Space AI within 48 hours to revoke access.
    • Commitment to Privacy: all data is handled securely and in compliance with industry best practices to protect your sensitive information.
  6. Intellectual Property and Ownership
    Data and content uploaded by clients are owned by the client company, not Custom Space AI.
    Custom Space AI owns the website and its integration methods but not the client data or generated
    AI content.
  7. Limitations of Liability
    Custom Space AI is not liable for indirect, incidental, or consequential damages, including profit or
    data loss.
    The maximum liability will not exceed the amount paid in the last six months.
  8. Termination and Suspension of Service
    Termination can be initiated by either party. Reasons for termination include non-payment, misuse
    of Custom Space AI, or harmful activities.
    Custom Space AI will retain company data for six months in case of service resumption.
  9. Dispute Resolution and Governing Law
    This Agreement is governed by Ontario, Canada law, and disputes are subject to the exclusive
    jurisdiction of Ontario courts.
    Parties may attempt to resolve disputes through mediation before litigation.
  10. Amendments to the Terms
    Custom Space AI reserves the right to amend these Terms. Active main users will be notified via
    email, and changes take effect in the next billing cycle.
    Users may cancel if they disagree with the changes.
  11. Contact Information
    Users can reach their account manager with any legal questions. For system maintenance, Custom
    Space AI will notify users via email and website banner.
